
Terms and conditions
Definition of Terms 1.1 In this document, “Web Designer” refers to [Wendy Jean-Joseph], and “Client” means the party engaging the services of the Web Designer.
Description of Services 2.1 The Web Designer undertakes to provide web design services in accordance with the specifications agreed with the Client. 2.2 Specific details of the Services, including functionality, timelines and deliverables, will be defined in a separate contract or proposal.
Intellectual Property 3.1 Unless otherwise agreed, the Client acknowledges that any creative work carried out by the Web Designer, including but not limited to graphic designs, website elements and source code, remains the intellectual property of the Web Designer until full payment of the agreed fees. 3.2 Once full payment has been received, the Web Designer will transfer to the Client the agreed usage rights for the completed work, subject to the restrictions set out in the contract.
Fees and Payments 4.1 The Client agrees to pay the agreed fees for the Web Designer's services according to the terms specified in the contract. 4.2 Payments will be made according to a schedule agreed between both parties, and work will only begin after receipt of an initial payment, if applicable. 4.3 Any late payment may result in additional charges or suspension of services until payment is received.
Modifications and Revisions 5.1 The Client may request revisions or modifications to the work in progress, subject to the conditions specified in the contract. 5.2 Additional fees may be charged for revisions or changes requested outside the original project scope.
Confidentiality 6.1 The Web Designer and the Client undertake to maintain the confidentiality of any confidential information exchanged within the framework of the project. 6.2 This obligation of confidentiality will survive termination or completion of the contract.
Termination of the Contract 7.1 The contract may be terminated by mutual agreement of the parties or for failure to comply with the terms specified in the contract. 7.2 In the event of termination, the Client will be required to pay fees for services rendered up to the date of termination.
Applicable Law and Jurisdiction 8.1 This contract is governed by the laws in force in [location], and any dispute arising from this contract will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
By accepting these general conditions, the Customer acknowledges having read, understood and accepted the terms of this contract.
